Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Voxvey Research LLC (“Voxvey,” “we,” “us,” or “our”), a Delaware limited liability company and a brand of the Helio company ecosystem.

By creating an account, accessing the Voxvey console, consuming the Voxvey API, or using any Voxvey-operated service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using our services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Services

Voxvey operates a high-performance LLM gateway and unified credit platform (“Platform”) that provides:

• Programmatic API access to 400+ large language models from third-party providers including OpenAI, Anthropic, Google DeepMind, Meta, Mistral, and others via the Voxvey Cortex routing engine
• An interactive chat playground at chat.voxvey.com
• A developer console and account management portal at console.voxvey.com
• Video and image generation capabilities through the undrfted. platform at undrfted.com
• A unified credit wallet system for consolidated billing across all Voxvey services

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.

3. User Accounts

To access most features, you must register for a Voxvey account. When creating an account, you agree to:

• Provide accurate, current, and complete registration information
• Maintain the confidentiality of your account credentials, including API keys
• Accept responsibility for all activities that occur under your account
• Notify us immediately at [email protected] of any unauthorized account access

You may not create accounts using automated methods, maintain multiple accounts for abuse purposes, or transfer your account to another party without our written consent.

4. Acceptable Use

Use of the Voxvey Platform is subject to our Acceptable Use Policy, which is incorporated herein by reference. You may not use our services to:

• Generate content that is illegal, harmful, fraudulent, or violates applicable law
• Produce or distribute child sexual abuse material (CSAM) or exploitative content
• Create malware, cyberweapons, or tools designed to harm systems or individuals
• Engage in harassment, stalking, or targeted abuse of any person
• Attempt to circumvent rate limits, billing systems, or security controls
• Resell or sublicense API access without prior written authorization from Voxvey
• Conduct automated scraping or data extraction at a scale that degrades service quality

Violation of acceptable use policies may result in immediate account suspension without refund.

5. API Keys and Rate Limits

API keys issued to your account are confidential credentials. You are solely responsible for safeguarding your API keys. You must not embed API keys in public repositories, client-side code, or other publicly accessible locations.

Voxvey reserves the right to impose rate limits on API usage to maintain platform stability and equitable access. Rate limit tiers vary by subscription plan. Exceeding rate limits may result in request throttling or temporary suspension of API access.

You may rotate or revoke API keys at any time via the console. Voxvey is not liable for unauthorized charges resulting from compromised API keys that were not promptly revoked.

6. Billing and Payments

Voxvey offers two billing models:

• Pay-as-you-go (Credit Wallet): You load credit into your Voxvey wallet and are charged per token, message, or generation second consumed. Credit balances do not expire and are non-transferable between accounts.
• Subscription Plans: Monthly recurring plans (Free, Pro, Enterprise) that provide included usage allowances. Overages beyond included limits are billed at standard pay-as-you-go rates. Subscriptions auto-renew unless cancelled prior to the renewal date.

All fees are in US Dollars. Except as otherwise stated, all charges are non-refundable. We may update pricing with at least 30 days notice to active subscribers. Continued use of the services after a price change constitutes acceptance of the new pricing.

You are responsible for all taxes applicable to your use of the services. Voxvey may collect applicable sales tax in jurisdictions where required by law.

7. Data and Privacy

Your privacy is governed by our Privacy Policy. For enterprise customers requiring a Data Processing Agreement, please see our DPA.

You retain all ownership rights to data you submit to the Platform (“Input Data”) and content generated through our services (“Output Content”). You grant Voxvey a limited, non-exclusive license to process your Input Data solely to the extent necessary to provide the services.

Voxvey does not use your Input Data or Output Content to train AI models. Prompt data is processed ephemerally and is not retained longer than necessary to fulfill your request, subject to our data retention policy.

8. Third-Party Services and Providers

The Voxvey Platform routes requests to third-party AI model providers. We act as an intermediary and are not responsible for:

• The availability, accuracy, quality, or legality of third-party model outputs
• Changes to third-party model APIs, pricing, or service terms
• Outages or degradation caused by upstream provider issues

Your use of third-party models via our platform is also subject to those providers’ usage policies. Voxvey’s routing infrastructure does not guarantee any specific model’s availability at any given time.

9. Intellectual Property

The Voxvey Platform, brand, Cortex routing engine, user interface, documentation, and all associated intellectual property are proprietary to Voxvey Research LLC. You may not copy, modify, distribute, sell, or create derivative works of our intellectual property without express written permission.

Voxvey grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes in accordance with these Terms.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VOXVEY DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the services will be uninterrupted, error-free, or that AI-generated outputs will be accurate, complete, or suitable for any particular purpose. AI model outputs may contain errors, biases, or inaccuracies. You are responsible for reviewing all outputs before use.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOXVEY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL VOXVEY’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO VOXVEY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless Voxvey Research LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the services in violation of these Terms
• Your violation of any applicable law or third-party right
• Any content you submit, generate, or distribute through the Platform
• Your misrepresentation of any information provided to Voxvey

13. Termination

You may terminate your account at any time by contacting us at [email protected]. Upon termination, unused credit wallet balances are non-refundable unless required by applicable law.

Voxvey may suspend or terminate your access immediately and without prior notice if you:

• Violate these Terms or the Acceptable Use Policy
• Engage in fraudulent, abusive, or illegal activity
• Pose a risk to the security or integrity of the Platform
• Fail to pay outstanding amounts owed to Voxvey

Sections 9 (IP), 10 (Disclaimers), 11 (Liability), 12 (Indemnification), and 15 (Governing Law) survive termination.

14. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days’ notice via email or prominent in-product notice. Your continued use of the services after the effective date of changes constitutes acceptance of the revised Terms.

We encourage you to review these Terms periodically. The “Last updated” date at the top of this page reflects when these Terms were last revised.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the services shall first be addressed through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association in Wilmington, Delaware. You waive any right to a jury trial or class action proceeding to the extent permitted by law.
